Terms of Service
These Terms of Service ("Terms") govern access to and use of the Allways.live platform and related services (the "Service") provided by ALLWAYSLIVE PRIVATE LIMITED ("Allways", "we", "us"). By registering for, accessing or using the Service, or by clicking to accept, you ("you", "Customer") agree to these Terms. If you accept on behalf of an entity, you represent that you are authorised to bind that entity. If you do not agree, do not use the Service. These Terms incorporate by reference our Privacy Policy and Data Processing Addendum.
1. Definitions
"Service" — the Allways.live platform, including the AI customer-service automation, portal, APIs, and related features. "End-Customer" — a person who messages the Customer's connected WhatsApp number. "Customer Content" — data, knowledge and materials the Customer submits. "WhatsApp Terms" — Meta's WhatsApp Business Solution Terms, Business Messaging policies, and the Business Terms for Service Providers, as updated. "Order" — a subscription selected at checkout.
2. The Service
Allways provides software that enables a Customer to connect its own WhatsApp Business number (via Meta Embedded Signup) and to automatically respond to its End-Customers, take bookings and appointments, and handle enquiries, using information the Customer supplies. The Service is a tool for the Customer's own business messaging with its own customers. The Customer's business owner supervises the automation, is notified of items needing attention, and may take over any conversation. Allways operates as a Meta Tech Provider / Service Provider and does not resell WhatsApp messaging as a principal.
3. Eligibility and accounts
- You must be at least 18 years old and capable of forming a binding contract, and must operate a bona fide business.
- You must provide accurate, complete and current registration and billing information and keep it updated.
- You are responsible for safeguarding credentials and for all activity under your account, including that of team members you invite and of users to whom you grant roles. Owner-level actions (transfer of ownership, deletion, billing) are your responsibility.
- You must promptly notify us of any unauthorised use or security incident affecting your account.
4. Compliance with WhatsApp and Meta policies
Your use of the Service over WhatsApp is additionally governed by the WhatsApp Terms, which you must comply with and which prevail over these Terms to the extent required by Meta in case of conflict. Without limitation, you agree that:
- you will use the Service solely for legitimate business messaging with your own End-Customers (customer service, enquiries, bookings, transactional and utility communications);
- you will obtain and maintain all opt-ins and consents required by the WhatsApp Terms and applicable law before any business-initiated message, and will honour opt-outs;
- you will not use the Service to send spam, bulk unsolicited marketing, or content prohibited by Meta's Commerce/Business policies or by law;
- you will not use, and will not configure the Service to operate as, a general-purpose artificial-intelligence assistant or any use in which an AI/LLM is the primary functionality offered to End-Customers, consistent with Meta's platform policy effective 15 January 2026;
- you acknowledge that Meta may throttle, suspend, or disconnect a number that violates its policies, and that message quality ratings and messaging limits are determined by Meta.
5. Customer responsibilities and content
- Accuracy. You are solely responsible for the accuracy, completeness and lawfulness of Customer Content and the knowledge you provide, and for the messages sent on your behalf using that content.
- Your End-Customers' data. As between the parties, you are the Data Fiduciary (controller) of End-Customer personal data and are responsible for providing notices to and obtaining consents from your End-Customers as required by the DPDP Act and other applicable law. Allways processes such data as your Processor under the Data Processing Addendum.
- Licence to us. You grant Allways a non-exclusive, worldwide, royalty-free licence to host, process, transmit and display Customer Content solely to provide, secure and improve the Service for you and as permitted by the DPA.
- Prohibited use. You will not (a) reverse engineer, decompile, or attempt to derive source code; (b) probe, scan, or circumvent security or authentication; (c) resell, sublicense, or provide the Service to third parties except your authorised users; (d) use the Service to violate any law, infringe IP, or transmit malware; or (e) exceed rate limits or interfere with the Service's operation.
6. Fees, billing, taxes and cancellation
- Subscription. Paid features are provided on a subscription basis per the Order. Fees, billing cycle (monthly/quarterly/annual), included quantities, and any setup fee are as displayed at checkout.
- Invoicing and payment. The Service uses an invoice-based recurring model. Renewals are issued as invoices and collected via our payment processor (Razorpay). You authorise us and our processor to charge the applicable amounts. Prices are in Indian Rupees.
- Taxes. Fees are exclusive of taxes unless stated; you are responsible for applicable GST and other taxes, and we will issue tax invoices as required.
- Usage & overage. Certain items are metered (e.g. proactive marketing template messages). Overage, where applicable, is charged at the rates shown. WhatsApp service conversations and in-window replies are included as described in the Service.
- Cancellation. You may cancel auto-renewal at any time from Settings → Billing. On cancellation the subscription remains active until the end of the paid period, after which the Service is disabled. Cancellation stops future renewals; it does not retroactively refund the current period.
- Refunds. Except where required by law or expressly stated, fees are non-refundable, and we do not provide pro-rata refunds or credits for cancellations mid-cycle, downgrades, or unused amounts; your subscription remains active until the end of the paid period.
- Changes to fees. We may change fees on prospective notice; changes take effect at your next renewal.
- Non-payment. We may suspend the Service for overdue amounts following notice and a dunning period.
7. Intellectual property
The Service, including all software, models integration, user interfaces, and documentation, and all intellectual property therein, is and remains the exclusive property of Allways and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during the term. You retain all rights in Customer Content. Feedback you provide may be used by us without restriction or obligation.
8. Third-party services
The Service interoperates with third parties (Meta/WhatsApp, Anthropic, Razorpay, and others). Your use of those services is subject to their terms, and we are not responsible for their acts, omissions, availability, or changes. AI responses are generated using third-party models and, while scoped to your knowledge, may contain errors.
9. Warranties and disclaimers
Except as expressly stated, the service is provided "as is" and "as available", and Allways disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that AI-generated responses will be accurate, complete or suitable, and you are responsible for reviewing outputs and for the information you supply. You assume responsibility for results obtained from the Service.
10. Indemnification
You will defend, indemnify and hold harmless Allways, its officers, employees and agents from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) Customer Content; (b) your use of the Service in breach of these Terms, the WhatsApp Terms, or applicable law; (c) your messages to, or relationship with, your End-Customers, including consent and opt-out obligations; or (d) your violation of any third-party right.
11. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data; and (b) Allways' aggregate liability arising out of or relating to the Service and these Terms will not exceed the total fees paid by you to Allways in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Term, suspension and termination
- These Terms apply while you use the Service.
- We may suspend or limit the Service, in whole or part, for (a) actual or suspected breach of these Terms or the WhatsApp Terms; (b) security risk; (c) non-payment; or (d) legal requirement, with notice where practicable.
- Either party may terminate for material breach not cured within 30 days of notice. You may stop using and delete your account at any time.
- On termination, your right to use the Service ceases; data is handled per the Privacy Policy, DPA and Data Deletion process. Clauses which by nature survive (including 5–11, 13–15) survive termination.
13. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, outages of Meta/WhatsApp or other providers, internet failures, government action, or natural disaster.
14. Governing law and dispute resolution
These Terms are governed by the laws of India. Any dispute will first be attempted to be resolved amicably; failing which it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Gurugram, Haryana, conducted in English, and the courts at Gurugram, Haryana will have exclusive jurisdiction over matters not subject to arbitration.

- Notices to Allways: legal@allways.live; to you: the email on your account.
- Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or successor.
- Amendments. We may update these Terms on notice; continued use after the effective date constitutes acceptance.
- Entire agreement / severability / waiver. These Terms, with the documents they incorporate, are the entire agreement; if any provision is unenforceable, the rest remains in effect; no waiver is implied by failure to enforce.
- Relationship. The parties are independent contractors; nothing creates a partnership, agency or employment.
